The transaction positions Xora to continue to capitalize on the growing market for                     handset-based mobile resource management applications in North America which is expected to                     reach 5 million subscribers and over $1 billion in annual recurring software revenue by 2015                     according to Frost & Sullivan, a leading industry analyst firm that tracks mobile and wireless                     communications.

Answer:    The name of the new company is Xora, the Gearworks name will be phased out over time.

Answer:    Xora has over 16,000 customers and sells it solutions in partnership with Sprint-Nextel, AT&T,                     Verizon, Cbeyond, Telstra, US Cellular and Procall.

Question:  Where is the headquarters of the new company?
Answer:    The corporate headquarters will be based in Mountain View, CA. Xora will maintain offices in                     Eagan, MN, Bangalore, India and Melbourne, Australia.

Answer:    Xora will be headed by current Xora CEO Sanjay Shirole. Members of the Xora and Gearworks                     management team will make up the leadership of the new company.
