Gearworks Has Merged With Xora

The merger creates the largest and fastest growing carrier-aligned, location-based, mobile business application provider in the world. The combined company brings together industry leading technology and market leading presence. The new company will serve more than 16,000 customers in partnership with the worlds leading wireless carriers.

Answer:    As part of this transaction, venture investors from both companies, including Dawntreader Ventures,                     BlueStream Ventures, Split Rock Partners, and Rho Ventures all have made additional equity                     investments totaling $8.5 million dollars.

Answer:    The combined company brings together industry leading technology and market leading                     presence. The transaction positions Xora to continue to capitalize on the growing market for                     handset-based mobile resource management applications in North America which is expected to                     reach 5 million subscribers and over $1 billion in annual recurring software revenue by 2015                     according to Frost & Sullivan, a leading industry analyst firm that tracks mobile and wireless                     communications.

Answer:    The name of the new company is Xora, the Gearworks name will be phased out over time.

Answer:    Xora has over 16,000 customers and sells it solutions in partnership with Sprint-Nextel, AT&T,                     Verizon, Cbeyond, Telstra, US Cellular and Procall.

Question:  Where is the headquarters of the new company?
Answer:    The corporate headquarters will be based in Mountain View, CA. Xora will maintain offices in                     Eagan, MN, Bangalore, India and Melbourne, Australia.

Question:  Who is running the new company?
Answer:    Xora will be headed by current Xora CEO Sanjay Shirole. Members of the Xora and Gearworks                     management team will make up the leadership of the new company.

Answer:    Xora will continue to offer its products across its carrier partners under the GPS TimeTrack, Field                     Force Manager, etrace and appmosphere brands. Xora provides the industry’s largest and most                     experienced support organization for its suite of products.
